Hedge Funds

Our Corporate Group attorneys advise hedge funds and investment partnerships.  Our Corporate Group attorneys offer legal guidance to domestic and offshore hedge funds and investment partnerships in every segment of the private funds industry, including Section 3(c)(1) and Section 3(c)(7) hedge funds, offshore funds, real estate funds, country and sector funds, private equity, distressed, mezzanine and fund of funds.

 

In particular, our Corporate Group attorneys provide structuring assistance and prepare the essential documents necessary to initiate private offerings in compliance with Regulation D of Rule 506 (of the Federal securities law) as well as make the state securities or "Blue Sky" filings that are required to comply with applicable state laws.

 

Generally, the documents required to conduct a private placement include a private placement memorandum, a limited partnership agreement, subscription agreement with an investor questionnaire, as well as operating agreements for the General Partner and Management Company.
